Formello, 22 April 2025 – Rebirth S.p.A. (the «Company«), a dynamic company, specialized in the development and management of real estate assets, listed on the Euronext Growth Paris market, announces that it has received communications of substantial change in the shareholding from some significant shareholders, in particular:

• The shareholder Health Italia S.p.A., as a result of the distribution of the extraordinary dividend in shares of Rebirth S.p.A., announced that decreased from the 40% threshold, in particular the shareholder declared that it held, as of 17 April 2025, an amount of shares equal to 3,888,007, equal to 17.06% of the share capital of Rebirth S.p.A.;
• The shareholder Sorgiva Holding S.p.A. announced that, as a result of the same extraordinary dividend distribution by Health Italia Spa in shares of Rebirth S.p.A., it is exceeding the materiality threshold of 15%, in particular the shareholder declared that it held, as of 17 April 2025, an amount of shares equal to 4,542,875, equal to 19.94% of the share capital of Rebirth S.p.A.;
• It is also announced that the shareholder Cristina Massullo, as a result of a contribution transaction, ceases to be a significant shareholder of Rebirth S.p.A., in favor of the transferee company Terra e Acqua S.r.l., which declared that it has received 1,871,091 shares, equal to 8.21% of the share capital of Rebirth S.p.A.

On the basis of the information available, the current shareholding structure of Rebirth S.p.A. is therefore as follows:

Note (1) Sorgiva Holding S.p.A. is controlled by Massimiliano Alfieri as legal representative and majority shareholder, holding 61.80% of the shares.
Note (2) Massimiliano Alfieri holds 25.05% of the Company’s share capital through direct and indirect shareholdings (through Health Italia S.p.A. and Sorgiva Holding S.p.A.).

Note (4) Any shareholder with a stake of less than 5%
